Beta draft only. The intended contracting entity is FinalFlow · CVR 46076842, Tulipanhaven 142, 1. 3, 8200 Aarhus N, Denmark. It becomes binding for real media only through a counsel-approved, accepted campaign order that also states governing law, venue, tax treatment and the applicable version.
Order formation
A campaign order is formed only when an authorised brand user accepts the displayed terms version and FrameYield records the order document hash. Creator participation remains a separate opt-in offer.
- Each private-beta order identifies brand, campaign, currency, budget, dates, regions, categories, target CPM, rail size, YouTube long-form thumbnail format and measurement source.
- YouTube Shorts, Instagram Reels, TikTok covers and live streams require a future separate standard and are not billable under this order.
- Edits create a new version; a stored order or FrameLock file is never silently overwritten.
- A dashboard draft, forecast or unmatched campaign is not a commitment to deliver impressions.
FrameLock specification
The YouTube long-form campaign chooses a 15%, 18% or 22% sponsor rail. The brand uploads one or more finished rail-only PNG designs; FrameYield stores each file’s exact dimensions, version, SHA-256 and review state.
- Rail files must be exactly 192×720, 230×720 or 282×720 px for 15%, 18% or 22% respectively. Incorrect files cannot enter the creative library.
- Only admin-approved variants matching the campaign order are offered. The creator chooses one variant and composites ordinary editorial thumbnail content solely inside the remaining area.
- The complete 1280×720 submission stores the selected variant id and hash alongside the final thumbnail hash and creator/brand decisions.
- A published thumbnail is checked against the approved complete file. Exact signed-source hashes may pass automatically; platform recompression requires similarity scoring and, where necessary, human review.
- The creator may not shrink, crop, obscure, recolour, move or otherwise modify the selected sponsor rail without a new approved variant and FrameLock version.
Format, disclosure and platform controls
The visual rail does not replace disclosures required by law or platform policy, and excluded content formats cannot be relabelled as long-form.
- Before attaching the video, the creator records separate attestations for standard YouTube long-form format, YouTube’s paid-promotion control and a clear local-language disclosure.
- The API rejects explicit Shorts URLs; a false format attestation blocks settlement and may trigger account review.
- The campaign order supplies the required local-language wording; a generic AD label is used only where sufficient.
- For Danish-targeted media, the review tests whether wording such as REKLAME FOR [BRAND] or ANNONCE FOR [BRAND] is needed before viewers engage; a buried description label is not presumed sufficient.
- If a regulator or platform requires a stronger disclosure, the stricter rule controls and a new frame may be required.
Measurement
The YouTube beta uses thumbnail impressions from the channel reach report for the accepted long-form video id on the creator’s read-only connection. FrameYield does not charge for Shorts, other short-form covers, private messages, copied screenshots or guessed link previews.
- Eligible delivery must fall inside the order dates, supported territory and accepted long-form placement.
- Invalid, automated, incentivised, duplicated, manipulated or unsupported-format delivery is excluded with a reason code.
- YouTube reports are delayed and may be revised. A placement remains reported or validating until the settlement window closes.
- Forecasts are planning estimates and do not guarantee views, CTR, sales or creator earnings.
Price and FrameYield revenue
Gross media value equals validated thumbnail impressions divided by 1,000, multiplied by the accepted CPM, and capped at the offer maximum. The creator receives 80%; FrameYield retains 20% as its marketplace, measurement and operations fee.
- Private-beta software floors are $8 CPM for a 15% rail, $10 for 18% and $13 for 22%. These are test rate-card floors, not proven market prices or guaranteed creator rates.
- The fee is calculated only on validated gross media spend, not an illustrative forecast.
- Payment-processing fees, currency conversion, VAT or sales tax are disclosed separately where applicable.
- The platform fee is FrameYield’s primary revenue. No creator subscription or payment for private shares is included in this beta agreement.
Funding and ledger
The brand pre-funds the campaign budget through the configured payment provider. The dashboard labels the amount reserved, but it is not represented as a regulated escrow or client-money account.
- A campaign cannot issue creator offers until a signed payment webhook confirms sufficient funds.
- Funding, media settlement, platform fee, creator payable and payout are recorded as balanced, idempotent ledger transactions.
- Unused amounts are refunded or released according to the final order and payment-provider rules after disputes and chargebacks are resolved.
- A payment failure or chargeback may pause unsettled delivery, but does not erase already validated records.
Approval, publication and changes
Creator, brand and FrameYield review states are independent. No party may treat an unapproved draft as live inventory.
- The creator controls whether to accept the sponsor and when to publish the ordinary long-form content.
- The brand approves sponsor presentation, not the creator’s unrelated editorial message.
- The placement records the YouTube video id, youtube_long_form classification and format attestation before live thumbnail verification.
- Any material frame change creates a new hash and reopens approval.
Validation, payout and holds
Validated creator earnings are scheduled for the next Thursday 09:00 UTC run after the seven-day hold, and only when Stripe Connect KYC, payout capability, a matching-currency standard bank destination, current policy acceptance and the fixed currency threshold are satisfied.
- Fixed launch thresholds are USD 25, EUR 25, GBP 25 or DKK 175. Balances are not combined or converted to reach them.
- The current launch pays standard bank accounts only. Card, PayPal, crypto, cheque, gift-card and cash payouts are unavailable; Instant Payouts are disabled.
- A Stripe transfer to the creator’s connected balance is not bank payment. FrameYield creates and tracks a separate connected-account payout and marks paid only from the provider payout state/webhook.
- A hold must identify the affected amount, reason and next review, such as invalid traffic, rights, disclosure, chargeback, provider failure or thumbnail mismatch.
- Unrelated cleared balances should not be held solely because another placement is disputed.
- Creator tax obligations remain with the creator; FrameYield may collect and report seller information where DAC7 or another reporting regime applies.
The incorporated operational detail is the versioned creator payout policy.
Cancellation and make-goods
A brand may pause future offers; a creator may remove a frame for safety, rights or platform reasons. Validated eligible delivery remains payable unless a documented dispute succeeds.
- Unpublished offers can be withdrawn without media charge.
- Early removal can lead to pro-rata settlement, rejection of unvalidated delivery or a mutually agreed replacement placement.
- Platform outages, reporting gaps or force-majeure events pause measurement rather than inventing delivery.
Disputes and order particulars
A participant should open a dashboard ticket within 30 days of the affected ledger or FrameLock event. A human reviews material outcomes.
- The intended contracting entity is FinalFlow, CVR 46076842, at Tulipanhaven 142, 1. 3, 8200 Aarhus N, Denmark; each production order must repeat it and add VAT treatment, governing law, venue and legal contact.
- Nothing in this draft limits mandatory rights or liability that cannot legally be limited.
- Public launch remains blocked until qualified counsel approves this framework for each launch market.
